These Terms and Conditions ("Terms") govern your access to and use of the Silver Spoon platform, website, mobile applications, software, and related services (collectively, the "Platform" or "Services"), operated by Silver Spoon Technologies Ltd ("Silver Spoon," "we," "us," or "our").

By accessing, registering for, or using the Platform, you agree to be legally bound by these Terms. If you do not agree, do not use the Platform.

1. Definitions

  • "User," "you," or "your" means any individual or business entity using the Platform, including fashion designers, tailors, cobblers, or their authorised representatives.
  • "Customer" means your end customers who interact with your business through the Platform.
  • "Subscription Plan" means the paid plan (monthly, quarterly, or yearly) selected by you.
  • "Third-Party Services" means external services integrated into the Platform, including payment processors, logistics providers, domain registrars, booking tools, analytics providers, and tax services.

2. About Silver Spoon

Silver Spoon is a unified fashion business management SaaS platform designed to help fashion professionals manage measurements, orders, payments, websites, logistics, appointments, and customer data. Silver Spoon is a technology service provider only and does not act as a bank, logistics company, payment processor, or agent for your customers.

3. Eligibility & Account Registration

3.1 You must be at least 18 years old and legally capable of entering into binding contracts to use the Platform.

3.2 You are responsible for providing accurate, complete, and up-to-date account information and for maintaining the confidentiality of your login credentials.

3.3 You are solely responsible for all activities conducted through your account, whether directly or indirectly authorised by you or not.

4. Subscription Plans & Billing

4.1 Subscription Structure

Silver Spoon offers monthly, quarterly, and yearly subscription plans, billed in advance.

4.2 Auto-Renewal

All subscription plans automatically renew at the end of the billing cycle unless you cancel before the renewal date.

4.3 Upgrades & Downgrades

  • Upgrades may take effect immediately or at the next billing cycle, depending on the plan.
  • Downgrades typically take effect at the end of the current billing period.

4.4 Cancellations & Refund Policy

  • You may cancel your subscription at any time.
  • If you purchase a yearly or quarterly subscription and cancel before the end of the year or quarter, Silver Spoon does not refund any unused or remaining balance for the year.

Except where required by law, all subscription fees are non-refundable, including for partial use, unused features, or early termination.

4.5 Failed Payments & Chargebacks

  • Failed payments will result in an account downgrade or restricted access to paid features.
  • Chargebacks or payment disputes may lead to immediate downgrades or termination of your account-paid plan and additional administrative fees.

5. Wallet System

5.1 Wallet Usage

Silver Spoon may provide an in-app wallet to facilitate transactions related to your use of the Platform.

5.2 Wallet Disclaimer

  • The wallet is not a bank account, stored-value account, or interest-bearing account.
  • Wallet balances do not earn interest.
  • Silver Spoon is not a licensed bank or financial institution.

5.3 Wallet Limitations

  • Wallet balances may be subject to limits, transaction caps, or usage restrictions.
  • You are responsible for monitoring your wallet activity.

5.4 Wallet Liability

Silver Spoon is not liable for losses caused by unauthorised access resulting from your failure to secure your account, including sharing passwords or devices.

6. Payments & Payment Processing

6.1 Payments on the Platform are processed by third-party payment processors.

6.2 Silver Spoon does not store or process sensitive card or bank details.

6.3 By using the Platform, you authorise Silver Spoon and its payment partners to process payments on your behalf.

6.4 Silver Spoon is not responsible for payment delays, failures, outages, or errors caused by payment processors.

7. Currency Exchange & Fluctuations

7.1 International transactions may involve currency conversion.

7.2 Exchange rates, conversion fees, and differences are determined by third-party payment providers.

Silver Spoon is not liable for losses resulting from currency fluctuations or conversion rate differences.

8. Shipping & Delivery

8.1 The Platform integrates with third-party logistics and shipping providers.

8.2 Silver Spoon does not control or operate delivery services and is not responsible for:

  • Delays
  • Loss, theft, or damage of items
  • Customs issues or international shipping restrictions

8.3 You are responsible for providing accurate shipping details.

9. Appointments & Booking System

9.1 Appointment and booking features may rely on third-party scheduling tools.

9.2 Silver Spoon does not guarantee attendance, completion, or outcomes of appointments.

9.3 We are not liable for missed, cancelled, rescheduled, or failed appointments.

10. Website & Domain Services

10.1 Silver Spoon may offer website creation and hosting features.

10.2 Domains are registered and managed through third-party domain providers.

10.3 You are responsible for:

  • Domain renewals
  • Expiration management
  • Compliance with registrar policies

10.4 Silver Spoon is not liable for domain suspension, expiration, or loss caused by third-party providers.

11. Data Privacy & User Data

11.1 You retain ownership of your business and customer data.

11.2 You are responsible for obtaining all required consents from your customers before collecting, storing, or processing their data.

11.3 Silver Spoon processes data in accordance with its Privacy Policy, which forms part of these Terms.

Silver Spoon is not liable for data breaches caused by your failure to protect your account, sharing your login credentials, or security lapses on third-party services.

12. Intellectual Property

12.1 You retain ownership of your designs, images, and content.

12.2 You grant Silver Spoon a non-exclusive, worldwide license to host, display, and process your content solely for providing the Services.

12.3 You must not upload infringing, illegal, or prohibited content.

13. Third-Party Integrations

13.1 The Platform relies on third-party services, including but not limited to:

  • Payments
  • Delivery and shipping
  • Taxation
  • Domain providers
  • Appointment booking

Silver Spoon is not liable for damages, losses, data breaches, or service failures caused by third-party solutions, whether integrated directly or indirectly.

13.3 Integrations may change, be suspended, or discontinued at any time.

14. Acceptable Use

You must not:

  • Engage in fraud, impersonation, or illegal activity
  • Abuse or exploit the Platform
  • Interfere with system security or integrity
  • Use the Platform in violation of applicable laws
  • Sell, distribute, or otherwise exploit any copyrighted content without proper authorisation

15. Disclaimers

15.1 The Platform is provided "as-is" and "as-available."

Silver Spoon does not guarantee business success, profits, sales, or customer growth.

16. Limitation of Liability

To the maximum extent permitted by law:

  • Silver Spoon is not liable for indirect, incidental, consequential, or special damages.
  • Total liability shall not exceed the amount paid by you to Silver Spoon in the 12 months preceding the claim.

17. Indemnification

You agree to indemnify and hold Silver Spoon harmless from claims arising from:

  • Your use of the Platform
  • Your customers' data
  • Your breach of these Terms
  • Your violation of any law

18. Suspension & Termination

18.1 Silver Spoon may suspend or terminate your account for:

  • Breach of these Terms
  • Illegal activity
  • Non-payment

18.2 Upon termination:

  • Access to Services may be revoked
  • Websites may be disabled
  • Data may be deleted after a reasonable period

19. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of Lagos State, Nigeria.

19.1 The parties agree to make reasonable efforts to resolve any dispute arising from these Terms through amicable negotiation or mutual agreement within two months of the dispute's occurrence. If no resolution is reached within that time, either party may escalate the matter to a court of competent jurisdiction for resolution.

19.2 The parties irrevocably and unconditionally submit to the exclusive jurisdiction of the courts located in Lagos State, Nigeria, for any dispute or claim arising from or related to these Terms. The United Nations Convention on Contracts for the International Sale of Goods shall not apply and is specifically excluded from these Terms.

20. Changes to These Terms

We may update these Terms from time to time. Continued use of the Platform constitutes acceptance of the updated Terms.
